Overview

ReUI is a product of KeenThemes Inc (“Licensor,” “we,” “us,” or “our”). When you purchase ReUI you are buying a license to use our Pro blocks, templates, icons, and the supporting code, files, and assets we deliver with them (the “Licensed Materials”). You are not buying the Licensed Materials themselves. This License sets out what that purchase lets you do, what it does not, and the terms that apply once you have the files.

Our free items, meaning the shadcn component examples, ReUI primitives, and hooks that we publish in the public ReUI repository, are not Licensed Materials, even when a Pro block installs them. They are licensed under the MIT License, as described in Free Components & MIT License below.

In short: build as many of your own projects as you like, ship them to clients, and customize the code however you need. Do not repackage the Licensed Materials so that others can obtain or resell them, unless an OEM license allows it. Read on for the details.

License Grant

Subject to your continued compliance with this License, KeenThemes Inc grants you a worldwide, non-exclusive, non-transferable, perpetual license to use the Licensed Materials within the limits of the tier you purchased. All rights that are not expressly granted here remain with KeenThemes Inc. This is a license to use the Licensed Materials, not a sale of any intellectual property in them.

Plans

ReUI is offered as two plans, Pro and Ultimate. Your plan decides which Licensed Materials your license unlocks. The seat tier you choose, described below, decides how many people may use them. Current prices for every plan and seat tier are listed on our pricing page.

Pro

All pro blocks to build modern interfaces faster. A Pro license unlocks our Pro blocks for use under the terms on this page. Our free shadcn components, ReUI primitives, and hooks are free for everyone under the MIT License, with or without a paid plan.

Ultimate

Everything in Pro plus icons and templates. An Ultimate license unlocks everything in the Pro plan and adds the ReUI icon set and full-page templates.

Some templates are marked Free on their page. They are Licensed Materials too: with a free ReUI account you may download them and use them under this License, on the terms of the Personal tier, without buying a plan. Any Pro blocks or icons inside a Free template may be used only as part of that template, and the grant does not unlock any other Pro block, icon, or template. The MIT License does not apply to them.

Seat Tiers

Your seat tier sets how many people inside your organization may access and work with the Licensed Materials. Choose the tier that matches the number of developers who will actually use the files, and upgrade if your team grows beyond it.

Personal

For a single developer, freelancer, or solo creator. This tier covers 1 named user, and only that person may install, edit, or build with the Licensed Materials.

Team

For small teams. This tier covers up to 5 people who belong to the same company or organization.

Growth

For growing teams that need more room and a few procurement perks. This tier covers up to 10 people in the same company or organization, and adds priority support along with wire-transfer payment and custom invoicing against a purchase order.

Enterprise

For larger organizations and agencies. This tier covers an unlimited number of people across your organization and includes priority support, the payment and invoicing options of Growth, vendor registration, security questionnaires, and a dedicated account manager.

A license bought under a seat tier we no longer sell, such as Business, keeps the seat count shown on its license certificate.

Seat tiers cover the people who build with the Licensed Materials. If you sell or offer a product as source code, other than a project you built to order for one client, or someone outside your seats will keep building with the source you hand over, see OEM License below.

What Your License Allows

Within the seat limit of your tier, you may:

• Use the Licensed Materials in an unlimited number of your own end products, including websites, web applications, and SaaS products.
• Modify, extend, and adapt the source code so it fits the needs of each project.
• Use the Licensed Materials in personal and commercial work.
• Use the Licensed Materials when building paid work for clients as part of your professional services.
• Sell or monetize the end products you create, provided the Licensed Materials are a building block within them rather than the product being sold. A product whose buyers receive its source code, such as a starter kit, boilerplate, or template, is not an end product for this purpose and needs an OEM license, unless it is a project you built to order for one client.

What Your License Prohibits

Unless a written OEM agreement with KeenThemes Inc allows it, you may not do any of the following. Handing a finished project to a client as described in Client Work & Handover below is not a breach of this list.

• Resell, redistribute, sublicense, or otherwise make the Licensed Materials available to anyone else, whether unchanged or modified, except as an OEM license allows (see OEM License below).
• Use the Licensed Materials to build a UI kit, component library, template, theme, or design-tool product that competes with ReUI.
• Share your account, license key, or downloaded files with people who are not covered by your tier’s seat count.
• Publish the Licensed Materials in a public or open-source repository, or anywhere the original source code can be downloaded by the public.
• Ship an end product in a way that lets your users extract the original Licensed Materials as standalone files.
• Remove, hide, or alter copyright, ownership, or license notices that ship with the Licensed Materials.
• Transfer or assign your license to another person or company without our prior written consent.
• Use the Licensed Materials, in whole or in part, to train or fine-tune any machine-learning model, to build a dataset, or as source material for a tool that generates code or designs for others. You may use them in the user interface of your own product, including an AI product, as long as that product does not output the Licensed Materials, or code or designs derived from them, to its users. A product that does is an OEM case (see OEM License below). You may let an AI coding agent read them (for example through the ReUI MCP) while you or the people on your seats use it to build your own end products or client work.
• Distribute the Licensed Materials through a marketplace, plugin store, no-code or website-builder platform, or any other channel where third parties could obtain the source.
• Repackage the Licensed Materials into another component library, design kit, template, or theme whose value comes from the code or design we provide, even after you have modified it.
• Hand a client or any other third party a project in a way that lets them go on to work with the Licensed Materials themselves, unless they hold their own license or an OEM license covers them. See Client Work & Handover and OEM License below.

Client Work & Handover

Building for clients is covered by your license, and you may hand a project you built to order for one client over to that client. What your license covers is you and the people on your seats. It does not extend to the client, to their in-house developers, or to another agency that picks the project up later.

The line is whether the recipient works with the Licensed Materials themselves. Delivering an end product that a client simply runs, deploys, or asks you to maintain requires nothing further from them. If the client or any third party will modify, extend, or continue building with the ReUI source - editing the delivered Pro blocks, templates, or icons, installing further paid items from the registry, or reusing them in other projects - that is use of the Licensed Materials by someone your license does not cover, and they need their own license, purchased in their own name, unless an OEM license covers them.

This works the same way in both directions: a handover does not transfer your license to the client, and a client cannot work from your key, during the engagement or after it. Seat tiers are listed on our pricing page, and if you are not sure which side of the line an arrangement falls on, contact Support before you deliver.

OEM License

Your seat license already covers a finished project you built to order for one client, which that client only runs, deploys, or pays you to maintain (see Client Work & Handover above). An OEM license includes everything in the Ultimate plan on the Enterprise tier, and adds the rights your products need in these cases:

• Source-code products. You sell or offer a starter kit, boilerplate, self-hosted script, white-label application, or any other product as source code, whether or not buyers modify it.
• Generative AI products. An AI app or website builder, code assistant, or other tool outputs the Licensed Materials, or code or designs derived from them, to its users.
• Client teams. A client, their in-house developers, or another agency will keep building with the source you hand over and does not buy their own license (see Client Work & Handover above).

An OEM license lets you redistribute the final code of your product with the Licensed Materials built into it, and lets your end buyers use, modify, and customize that code as part of your product. For a generative AI product, it sets what the product may generate from the Licensed Materials and what its users may do with the output. It covers the Licensed Materials inside your products, not on their own as a UI kit or component library. One OEM license can cover several products: the agreement names each product it covers and can be extended to new ones, and your own end products that customers only use stay unlimited, as on every plan. The scope, number of end buyers, price, and any other limits are tailored to those products and set in a separate written agreement with KeenThemes Inc. Where that agreement differs from this License, the agreement governs for the products it covers.

OEM licenses are not sold through checkout. To request a quote, contact us through Support with a short description of your product and how you distribute it.

Free Components & MIT License

The shadcn component examples, ReUI primitives, and hooks that we publish in the public ReUI repository are licensed under the MIT License, whether you install them from our registry or copy them from the ReUI repository. You may use, copy, modify, and distribute them under that license, with or without a ReUI purchase, and the restrictions on this page do not apply to them. When you distribute them, include the MIT copyright and permission notice from the repository’s LICENSE.md file.

This License covers only the Licensed Materials: the Pro blocks, templates (including the ones marked Free), and icons, plus the supporting code, files, and assets we deliver with them, other than the free MIT items above. They are owned by KeenThemes Inc. ReUI also uses third-party open-source projects that carry their own licenses, and those licenses continue to apply to those parts.

Attribution

Visible credit in your product is welcome but not required. Keep the MIT and copyright notices described above. If you would like to credit ReUI, you may add a link in your project’s footer or documentation to reui.io.

Updates & Support

• Every license includes lifetime access to the version you purchased and to future updates of that product.
• Updates are free for the lifetime of the product.
• Support depends on your seat tier: Personal and Team include email support, while Growth and Enterprise include priority support. Templates marked Free, used without a paid plan, come with community support.
• We may change the scope of future updates, but an update will not remove features from the plan you hold.

Upgrading Your License

You can move to any plan and seat tier that costs the same as or more than your current license at any time from your account. We credit everything you have paid for that license so far, excluding taxes, toward today’s price for the plan and tier you are moving to, and you pay only the difference. Your existing license is replaced automatically when the upgrade completes, and your license key keeps working. The new license unlocks only what its new plan includes and covers only the seat count of its new tier. If you move from Ultimate to Pro, you can no longer install the icon set or templates not marked Free, or use copies you already hold in new work, but end products you shipped before the move may keep them.

Warranty Disclaimer

• The Licensed Materials are provided “as is” and “as available,” without warranty of any kind, whether express or implied.
• We do not warrant that the Licensed Materials will meet every specific requirement or expectation you may have.
• We do not warrant that operation will be uninterrupted or completely error-free.
• We do make commercially reasonable efforts to keep the code high-quality, accessible, and broadly compatible.

Limitation of Liability

To the maximum extent permitted by applicable law:

• KeenThemes Inc is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Licensed Materials.
• Our total aggregate liability is limited to the amount you paid for your license.

Indemnification

You agree to indemnify and hold harmless KeenThemes Inc, including its officers, employees, and contractors, from any claim, demand, loss, or expense (including reasonable legal fees) that arises out of your use of the Licensed Materials, the end products you build with them, or your breach of this License.

License Verification

From time to time we may verify that your use of the Licensed Materials stays within your license, including the number of people who work with it. If we ask, you agree to provide reasonable information to confirm this, and to upgrade your license, or obtain an OEM license, if your use has grown beyond what it covers.

Account Suspension & Termination

We want every customer to get long-term value from ReUI, so this license is perpetual for as long as you honor its terms. At the same time, KeenThemes Inc reserves the right to protect the Licensed Materials and the wider community of customers.

• We may suspend or terminate your account, license key, or access to the Licensed Materials, with or without prior notice, if we reasonably believe you have breached this License or engaged in fraud, abuse, or misuse.
• Grounds for suspension or termination include, but are not limited to, redistributing the Licensed Materials beyond what this License or a written OEM agreement allows, sharing your key beyond your seat count, misrepresenting the size of your team, and attempting to bypass our paywall or license checks.
• Starting a chargeback or payment dispute instead of contacting us first may lead to immediate suspension or termination of the related license and access.
• No refund is due on a termination that results from a breach of this License.
• On termination you must stop using the Licensed Materials in any new work and delete the source files you hold, though end products you have already deployed in good faith may keep running.
• Each separate act of unauthorized use or distribution is treated as its own breach, and we reserve the right to pursue any remedy available to us under applicable law.

Changes to This License

We may update this License from time to time. Changes apply going forward from the date they are posted and do not retroactively reduce the rights granted for a license you have already purchased. Your continued use of the Licensed Materials after an update means you accept the revised terms.

General

• If any part of this License is held to be unenforceable, the remaining terms stay in full effect.
• Our not enforcing a term on one occasion is not a waiver of our right to enforce it later.
• This License, together with our Terms & Conditions, Refund Policy, and any written OEM or custom license agreement, is the entire agreement between you and KeenThemes Inc regarding the Licensed Materials. If they conflict, a written OEM or custom agreement governs first, then this License, then the Terms & Conditions.

Governing Law

This License is governed by the same jurisdiction as our Terms & Conditions, and any disputes are resolved through the dispute-resolution process described there.
